Steven Kapustin
Steven Kapustin recently joined Chernow Katz, LLC to provide the firm and its clients the benefit of his thirty-six years of commercial litigation experience. Steven’s practice represents oil companies, distributors, franchisors, franchisees, developers, business owners, securities firms, investors, automobile dealers, employment agencies, and professionals on a nationwide basis, having participated in all phases of litigation including jury and bench trials, preliminary and final injunction hearings, arbitrations and mediations in over twenty jurisdictions. He is not only admitted in Pennsylvania but in North Carolina and South Carolina, various federal courts, and the federal Courts of Appeals for the Second, Third, Fourth and Tenth Circuits, along with appearing pro hac vice in numerous other courts.
Steven has represented both franchisors and franchisees in disputes relating to territories, franchisee fees and adherence to standards, manufacturers and distributors in controversies involving pricing, commissions and terminations, both shareholders and investment houses in matters relating to disclosures, investment suitabilities and broker terminations, employers and employees in termination, restrictive covenant, and age and sex discrimination cases, and companies and individuals who are the subject of civil investigations by state and federal governments.
He has particular knowledge regarding specialty franchises, such as gasoline dealers subject to the federal Petroleum Marketing Practices Act (PMPA) and automobile and agricultural equipment dealers subject to state regulation. Steven also brings to the firm his long experience in successor liability cases, where it is alleged that entities are hiding assets by illegitimate corporate or personal transfers.
Steven has lectured before professional associations, accountant’s groups, and local and state bar associations on franchise, trial examination and ethics issues. He has served as an arbitrator and mediator on numerous occasions, both through the courts, American Arbitration Association and privately regarding a variety of commercial issues, mostly relating to franchise relationship issues, business dissolutions and employment disputes. Steven is a member of the American Bar Association Forum on Franchising, the ABA Section of Environment Energy and Resources Petroleum Refining and Marketing Committee and the Montgomery County Franchise Law Committee; among others.
Steven is a graduate of Philadelphia’s Central High School, the University of Pennsylvania and the Temple University School of Law. He enjoys the theatre and the arts, as well as college basketball.
